1. About these terms

This website at luminaventures.com.au (the "Site") is operated by Lumina Ventures Pty Ltd (ABN 47 690 766 459) ("Lumina Ventures", "we", "us", "our"). By accessing or using the Site — including our free Business Appraisal tool and our published articles and guides — you agree to these Terms of Use. If you purchase a paid service from us, the Terms of Sale for that service also apply. Our Privacy Policy explains how we handle personal information.

2. General information only — not advice

Everything published on this Site — including EBITDA multiples, valuation ranges, exit-readiness guidance, articles, FAQs, and the outputs of our free Business Appraisal tool — is general information only. It is prepared without knowledge of your objectives, financial situation, or needs, and it is not financial, investment, taxation, accounting, legal, or valuation advice.

Lumina Ventures Pty Ltd does not hold an Australian Financial Services Licence (AFSL) and is not a registered business valuer, tax agent, or law practice. Before acting on anything you read here — including any decision to sell, restructure, or value a business — obtain advice from appropriately licensed professionals.

3. The free Business Appraisal tool

In addition to Section 2, the following applies to the appraisal tool:

  • Results are indicative estimates presented as ranges, generated from the figures you enter and publicly available industry benchmarks. They are not a valuation and may differ materially from any actual sale outcome.
  • We make no representation that any business could be sold at any figure shown, and you must not rely on results for transactional, financing, taxation, or legal purposes.
  • You are responsible for the accuracy of the information you enter; results are only as good as the inputs.

4. Acceptable use

You must not:

  • use the Site unlawfully, or to transmit spam, malware, or harmful code;
  • scrape, harvest, or systematically extract content or data from the Site, or use automated tools to submit forms;
  • attempt to gain unauthorised access to any part of the Site, its infrastructure, or non-public areas; or
  • misrepresent your identity or a business's financial position when contacting us or using our tools.

5. Intellectual property

All content on the Site — text, guides, the appraisal methodology, branding, design, and code — is owned by or licensed to Lumina Ventures Pty Ltd and is protected by Australian and international intellectual property laws. You may view, download, and print content for your personal or internal business use. You must not reproduce, republish, distribute, or commercialise any part of the Site without our prior written consent, other than fair dealing permitted under the Copyright Act 1968 (Cth).

6. Third-party links and services

The Site may link to third-party websites and uses third-party services (described in our Privacy Policy). We do not control and are not responsible for the content, accuracy, or practices of third parties. Links are provided for convenience and are not endorsements.

7. Availability and accuracy

We aim to keep the Site available and its content current, but we do not guarantee uninterrupted access, or that content is complete, accurate, or up to date at all times. Market conditions, multiples, and regulatory settings change. We may modify, suspend, or discontinue any part of the Site (including the appraisal tool) at any time without notice.

8. Liability

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.

Subject to that, and to the maximum extent permitted by law: (a) the Site and its content are provided "as is"; (b) we exclude all implied warranties; and (c) we are not liable for any indirect or consequential loss, loss of profit, business, or opportunity arising from your use of, or reliance on, the Site or its content — including decisions made in reliance on indicative appraisal results. Where liability cannot be excluded but can be limited, our liability is limited to resupplying the relevant service or content.

9. Confidentiality of enquiries

We treat enquiries from business owners and brokers as confidential, as described on the Site and in our Privacy Policy. This does not create a formal confidentiality agreement; if you require one, we are happy to execute a mutual NDA before you share sensitive information.

10. Changes to these terms

We may update these Terms of Use from time to time. Changes take effect when posted on this page with an updated "Last updated" date. Your continued use of the Site constitutes acceptance of the updated terms.

11. Governing law

These terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia. If any provision of these terms is invalid or unenforceable, the remaining provisions continue in full force.
